Terms of Service

Terms and conditions governing the supply, installation, calibration, and maintenance services provided by SMDSOLUTIONS in Pakistan.

1. Acceptance of terms

Agreement to these terms

These terms of service ("Terms") govern your use of the SMDSOLUTIONS website and the supply, installation, calibration, and maintenance services provided by SMDSOLUTIONS ("we", "our", "us").

By using our website, requesting a quotation, or accepting a quotation, you agree to be bound by these Terms. If you do not agree, you must not use the website or instruct us to proceed with a project.

Project-specific written contracts and signed quotations will form the binding commercial agreement and prevail over these Terms in the event of any inconsistency relating to that specific project.

2. Services scope

What we offer

SMDSOLUTIONS provides the following services across Pakistan:

  • Supply of indoor, outdoor, transparent, 3D, flexible / curved, and creative LED display hardware and modules.
  • Site survey, structural and electrical specification, and engineering review.
  • Installation, mounting, wiring, commissioning, and calibration of LED video walls and SMD screens.
  • Repair, maintenance, and on-site service-level agreements (SLAs).
  • Content workflow, controller setup, and operator training.

The exact scope of services for any project will be documented in the signed quotation or contract.

3. Quotations & pricing

How we quote

Quotations issued by SMDSOLUTIONS are valid for the period stated on the quotation document, typically thirty (30) calendar days from issue date, unless otherwise stated.

Quotations are based on information supplied by the client at the time of quoting, including site dimensions, structural details, power availability, and project timeline. Material changes to scope after quotation may require a revised quotation.

Pricing is denominated in the currency stated on the quotation. Prices for imported hardware are subject to currency fluctuations, import duties, and customs charges applicable at the time of order placement. Where pricing is exposed to such factors, the quotation will state the validity terms clearly.

Payment terms are stated on each quotation. Standard terms typically require an advance deposit at order, an interim payment at hardware arrival, and a final payment on completion and sign-off.

Applicable taxes, including general sales tax (GST) and withholding tax, are charged in accordance with Pakistani law.

4. Site survey

Pre-installation site assessment

For most installations a site survey will be conducted before final specification or installation. The survey assesses structural integrity of the proposed mounting location, available power capacity, ambient lighting, ventilation, content-feed routing, and access for installation and maintenance.

The client is responsible for providing safe, lawful access to the site, accurate building information, and any permissions or approvals required from landlords, building authorities, or regulatory bodies.

Where a survey reveals previously unknown conditions affecting cost or timeline, we will issue a revised scope and pricing for client approval before proceeding.

5. Hardware warranty

Manufacturer warranty cover

LED display hardware supplied by SMDSOLUTIONSis covered by the original manufacturer's warranty, typically two (2) years on modules and one to two (1–2) years on power supplies, controllers, and accessories. Exact warranty terms vary by brand and product line and are documented on the signed quotation.

Manufacturer warranty does not cover damage caused by misuse, unauthorised modification, accidents, fire, water, power surges outside specified tolerance, or use outside the rated operating environment. Indoor-rated cabinets installed outdoors void warranty cover.

Warranty claims must be reported promptly. Where applicable, defective items will be repaired or replaced under the manufacturer's standard warranty process.

6. Installation warranty

Cover on our workmanship

SMDSOLUTIONS provides a workmanship warranty on the installation, mounting, wiring, and commissioning we perform. Standard installation-warranty cover is twelve (12) months from the date of project sign-off, unless otherwise stated on the signed quotation.

Installation warranty covers defects directly attributable to our workmanship, including fixings that fail to perform to specification, wiring faults arising from our work, and cabinet alignment that drifts beyond acceptable tolerance.

Installation warranty does not cover faults caused by third-party modification, tampering, building movement, acts of vandalism, or events outside reasonable control.

7. Maintenance & support

Ongoing service

Optional maintenance contracts are available with defined service-level agreements, including periodic inspections, recalibration, firmware updates, and on-site response windows (typically four-hour or twenty-four-hour) for mission-critical installations.

Maintenance contracts are documented in a separate signed agreement that specifies scope, response times, included parts, and any exclusions.

Where no maintenance contract is in place, repairs will be quoted and carried out on a time-and-materials basis, subject to parts availability.

8. Limitation of liability

Caps on our exposure

To the maximum extent permitted by Pakistani law, the total aggregate liability of SMDSOLUTIONS arising out of or in connection with any project, contract, or use of our services shall not exceed the total amount paid by the client to SMDSOLUTIONS for that specific project.

We shall not be liable for any indirect, consequential, special, or incidental damages, including but not limited to loss of revenue, loss of profit, loss of business opportunity, loss of goodwill, or content / data loss, whether arising in contract, tort, or otherwise.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be lawfully limited or excluded under Pakistani law.

9. Force majeure

Events outside reasonable control

Neither party shall be liable for failure or delay in performance caused by events outside its reasonable control, including but not limited to acts of god, natural disasters, fire, flood, earthquake, war, civil unrest, government action, port closures, customs delays, import quota changes, pandemic-related disruption, supplier failure, or shipping disruption.

Where a force-majeure event materially affects delivery, the affected party will give written notice as soon as reasonably practicable and the parties will work in good faith to revise the timeline. Where the event continues for a sustained period, either party may terminate the affected scope subject to fair settlement of work performed and goods supplied to the date of termination.

10. Governing law & jurisdiction

Pakistan as governing jurisdiction

These Terms and any contract entered into between SMDSOLUTIONS and a client are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.

Any dispute arising out of or in connection with these Terms or any project shall first be addressed through good-faith negotiation between the parties. Where a dispute cannot be resolved through negotiation within a reasonable period, the parties submit to the exclusive jurisdiction of the courts of Pakistan, save where the parties agree in writing to refer the matter to arbitration in accordance with the Arbitration Act, 1940 (or successor legislation), with the seat of arbitration in Lahore unless otherwise agreed.

Revisions and version history

We may update these Terms from time to time. The "last updated" date at the top of this page reflects the most recent revision. Material changes will be flagged at the top of this page; for active client contracts, the version of the Terms in force at the date of the signed contract continues to govern unless the parties agree in writing to adopt a later version.
